TERMS & CONDITIONS
VVM BIOTECH INFRA
- Quotation & Validity
All quotations are valid for the period specifically mentioned in the quotation.
Prices and availability are subject to change without prior notice after the validity period.
Any typographical or clerical error in the quotation may be corrected by VVM Biotech Infra.
- Scope of Supply
The scope of supply/services shall be as specifically mentioned in the quotation, purchase order, or agreed proposal.
Any additional items, accessories, installation work, civil work, electrical work, or services not mentioned in the scope shall be charged separately.
- Prices & Taxes
Prices shall be as mentioned in the quotation.
GST and other applicable government taxes/charges shall be charged as applicable.
Transportation, loading/unloading, installation, commissioning and other charges shall be as specified in the quotation.
- Payment Terms
Payment terms shall be as mutually agreed and mentioned in the quotation/purchase order.
Work/supply may be kept on hold in case of overdue payments.
- Delivery
Delivery timelines are approximate and depend upon product availability, manufacturer schedules, transportation and other circumstances beyond our control.
VVM Biotech Infra shall not be liable for delays caused by force majeure or circumstances beyond its reasonable control.
- Installation & Commissioning
Installation and commissioning shall be provided only where specifically included in the quotation.
The customer shall provide the required site readiness, electrical connections, space, utilities and other necessary arrangements before installation.
- Warranty
Warranty shall be as per the manufacturer’s warranty terms or as specifically mentioned in the quotation.
Warranty does not cover damage caused by misuse, negligence, unauthorized modification, physical damage, voltage fluctuations, accidents, consumables or improper handling.
- New & Refurbished Equipment
New equipment shall be supplied as per the manufacturer’s specifications.
Refurbished equipment shall be supplied after inspection/service/refurbishment as applicable.
Warranty and condition of refurbished equipment shall be as specifically mentioned in the quotation.
- AMC / CMC & After-Sales Support
AMC/CMC services shall be governed by the scope and terms mentioned in the respective AMC/CMC agreement.
Replacement of parts, consumables and major components shall be subject to the agreed terms.
- Cancellation & Return
Cancellation of an order shall be subject to mutual agreement and the stage of execution/procurement.
Customized, imported, specially procured or installed items may not be eligible for cancellation or return.
Any applicable cancellation/restocking charges shall be borne by the customer.
- Customer Responsibilities
The customer shall ensure that:
Site and infrastructure are ready before installation.
Required approvals and permissions are obtained.
Equipment is operated only by trained/authorized personnel.
Necessary electrical, plumbing, HVAC and other utilities are available as applicable.
- Product Specifications
Product images, specifications, models and features shown in catalogues or promotional material may vary depending on the manufacturer and model supplied.
Final specifications shall be as mentioned in the quotation/purchase order.
- Force Majeure
VVM Biotech Infra shall not be responsible for delays or non-performance caused by circumstances beyond reasonable control, including natural disasters, fire, war, strikes, government restrictions, transportation disruptions, pandemics, manufacturer delays or supply-chain disruptions. - Intellectual Property
All company logos, designs, documents, proposals, photographs, technical documents and other proprietary material provided by VVM Biotech Infra shall remain the property of the company or respective owner and shall not be reproduced or used without permission. - Dispute Resolution
Any dispute arising in connection with the transaction shall first be resolved through mutual discussion. If the matter cannot be resolved amicably, it shall be subject to the applicable laws of India and the jurisdiction agreed between the parties in the relevant quotation/agreement. - Acceptance
Placement of a purchase order, acceptance of the quotation, advance payment, or commencement of work shall constitute acceptance of the applicable Terms & Conditions.
